So the pitch is done, you found the venture capitalists who are interested in investing. Now what? How do you get the term sheet, what is “standard”, how do you negotiate the valuation, how you even figure out what valuation is reasonable?? What about co-investors-how do you line them up-or is that what the lead investor is supposed to do? How do you make sure you really want to take money from a particular venture group? What about Board representation. Vesting of founder shares???
Topics will include:
o What do you need to do before you sign a term sheet?
o How do you manage the process of getting a lead and other investors to the point of funding?
o What are reasonable terms in today’s environment-liquidation preferences, antidilution, etc?
o How do I figure out if the valuation is appropriate; how can I negotiate it?
o Can I negotiate founder vesting schedules-should I something in place beforehand or wait for the investors to raise the issue?
o What should I look for in terms of the board-should all investors get a seat at the table?

Curtis Mo Partner, DLA Piper
Curtis Mo is a partner in DLA Piper's Corporate and Securities group, based in Silicon Valley. He comes to DLA Piper from Wilmer Cutler Pickering Hale and Dorr LLP, where he was partner-in-charge of that firm's Palo Alto office.
Mr. Mo is recognized as a leading corporate and securities lawyer in Silicon Valley. He has represented emerging growth companies, major public companies, investment banks, venture capital funds and private equity funds in hundreds of public offerings, mergers and acquisitions, buyouts, venture capital financings and other complex transactions. He has extensive experience in corporate governance matters and regularly acts as general outside counsel to public and private companies at all stages of development, particularly in the technology, life sciences, clean energy technology and consumer sectors.
Among his clients have been such companies as Cisco Systems, Digital Island, Doubletree Hotels, E*TRADE Group, JetBlue Airways, Restoration Hardware and many top-tier investment banks and venture capital funds.
Anu Shukla Founder & CEO Koinz
Anu Shukla is a serial entrepreneur currently working on Koinz Media, her fourth venture. Prior to this, she was the Founder & CEO of Offerpal Media, a pioneer in the virtual currency markets providing monetization services to over 2000 social and casual games. Before Offerpal, Anu was the Founder & CEO of Mybuys Inc. Mybuys is a venture-backed company in the eCommerce personalization market. Prior to Mybuys, Anu pioneered the category of Internet Marketing Automation as Founder & CEO of Rubric, Inc. Rubric was acquired in 2000 for $366 million.
Prior to Rubric, Anu has held a variety of executive roles including the VP of Marketing and Product Strategy at Versata (VATA), and Vice President of Worldwide Marketing and Product Management at Compuware/Uniface Corporation (CPWR).
Anu has served on the Board of Directors of the International Museum of Women (imow.org), Forum for Women Executives and Entrepreneurs (FWE&E) and the Advisory Board for the Leavey School of Business, Santa Clara University. She was named to the Computer Industry "Dream Team" by Business 2.0 magazine in 2004, awarded the YSU Distinguished Alumni award in 2005, and the Entrepreneur of the Year by the Washington D.C. based Dialogue on Diversity organization in 2005. In 2007 Anu was awarded an Honorary Doctorate degree from her alma mater Youngstown State University in recognition of her business achievements.
Samuel Angus, Partner Fenwick & West
Mr. Angus is resident in the San Francisco office of Fenwick and West and his practice concentrates on advising start-up/venture-backed companies, venture capital and debt financings, mergers and acquisitions, intellectual property licensing, joint ventures and general corporate matters.
Mr. Angus represents a broad range of companies from privately held start-up companies to publicly traded corporations. His practice also includes advising entrepreneurs and investors.
Mr. Angus served as counsel for In-System Design, Inc. in connection with its acquisition by Cypress Semiconductor Corporation. He also counseled Naxon Corporation (Wineshopper.com) on its acquisition of Wine.com, Inc., Ingenio, Inc. on its acquisition by AT&T Yellow Pages, Junglee Corp. on its $300 million acquisition by Amazon.com, Inc., and Blue Lava Wireless on its $140 million acquisition by JAMDAT Mobile.
Prior to joining Fenwick & West, Mr. Angus practiced commercial lending law at Lillick & Charles. Prior to becoming a lawyer, Mr. Angus was a founder and the chief executive officer of Design Look Publications, Inc., a publisher of fine art calendars and other published gift products.
Michael J. Rewkiewicz, Assurance and Advisory Services, Frank Rimerman + Co. LLP
Michael joined Frank, Rimerman + Co. LLP in 2005, and is a senior manager in our Assurance and Advisory department. He has extensive experience working with life science companies, manufacturing companies, venture capitalist funds and privately-held, pre-IPO software and high-technology companies. He is experienced in revenue recognition, equity accounting and mergers and acquisition transactions.
Michael graduated from Monash University in 1998 with a Bachelor of Commerce. Michael is a member of the Institute of Chartered Accountants in Australia, the American Institute of Certified Public Accountants and the California Society of Certified Public Accountants.
Jon Baer-Threshold Ventures
Jon is a senior executive who brings a unique perspective to the world of start-ups. In addition to being a venture capitalist, he was the founder and CEO of two venture backed companies, eBoomerang, an enterprise software company which was sold in 2006 and Artificial Muscle, Inc., a spinout from Stanford Research Institute (SRI) which was sold to Bayer AG in 2010.
As a principal and founder of Threshold Ventures, Jon works with companies around the world, serving as an advisor/mentor, working on specific projects (such as creating venture backed companies from emerging new technologies and helping international companies develop and execute plans for entering the U.S. market) and when appropriate, taking on interim operating roles. He has worked with a wide range of software, telephony, hardware, cleantech and services businesses. Earlier in his career Jon was a General Partner at Oscco Ventures, a Sand Hill Road early-stage venture capital firm which was one of the pioneering firms in Silicon Valley. He has invested in a range of companies including Landec, Peerless Systems, and Coinstar.
