Come listen to a group of financiers, recently funded entrepreneurs and VC experienced legal counsel talk about what deal structures look like at this time and how to approach the term sheet negotiation process. Join Jonathan Abrams of Friendster, Tom Cervantez of the Golden Gate Angels and Davis Wright Tremaine LLP, Steven Marder, CEO of Eurekster, Inc. (angel/vc funded), Michael Fitzsimmons, CEO of Delivery Agent (angel/VC funded), Bruce Tarigin of Blumberg Capital and others as they talk about:

    About the Presenters

    Jonathan Abrams, Founder of Friendster, Inc.

    Jonathan Abrams is the founder & Chairman of Friendster,Inc. an online community that connects people through networks of friends for dating or making new friends, which counts among its investors Kleiner Perkins, Benchmark and Battery Ventures. Jonathan was previously the founder & CEO of HotLinks, and has worked in senior engineering roles at companies such as Netscape, Bell-Northern Research, Nortel Networks, Bitfone, and CrossWorlds Software. Jonathan is a member of the Advisory Board of the Silicon Valley Association of Startup Entrepreneurs, and was the former Co-Chair of the SDForum Venture Finance SIG. Jonathan holds an Honors B.Sc. in Computer Science from McMaster University in Ontario, Canada.

    Tom Cervantez, Angel Investor, Founder of Golden Gate Angels, Partner at Davis Wright Tremaine LLP

    Tom Cervantez is an angel investor, founder of the Golden Gate Angels and Corporate Partner with Davis Wright Tremaine LLP in San Francisco. Tom has over 15 years experience working in the securities and finance field, with a focus on helping emerging growth companies, venture funds, and software and hardware computer companies navigate issues concerning securities, capital structure planning, private placements, mergers and acquisitions, venture financing and licensing transactions. Tom has also participated at an operating level at several companies, including a venture fund, boutique investment bank and an ISP. Tom's most recent venture was the formation of Britton Silberman & Cervantez LLP, which was acquired by Thelen Reid & Priest LLP in June of 2000. Tom is also an active angel investor in the computer, communications and networking sectors. Tom holds a Bachelor's in Business Administration, magna cum laude, from Loyola Marymount University, a JD from Harvard Law School and a MBA from Harvard Business School.


    Steven Marder, CEO of Eurekster, Inc.

    Steven joined Eurekster as Chief Executive Officer after managing the North American operations of Gramercy Venture Advisors, Inc., a boutique strategic investment bank and venture catalyst based in San Francisco, with offices in Asia Pacific and Europe. He is an experienced corporate executive, venture catalyst, strategic advisor and attorney with over 17 years of professional experience in financial, operation and corporate management. Prior to Gramercy, Steven served as Chairman/ CEO of eMemberDirect, Inc. (formerly, which he founded and took public in 1999. Prior, Steven was a Principal of global venture catalyst, Double Impact. A former intellectual property and media and entertainment attorney, Steven previously ran business development and licensing at Compton's NewMedia (Tribune Company), and worked in the recording industry at companies such as Metropolis Records, EMI Music and CEMA Distribution. Steven is also a co-founder and Board member of S.L.I. Systems. He is a graduate of Columbia College/ Columbia University and St. John's School of Law.


    Michael Fitzsimmons, CEO of Delivery Agent, Inc.

    Over a decade in Retail and Technology. Former VP Product Development at WarrantyNow, Circuit City, DIVX, Carmax. In launching Delivery Agent over the last three years, Michael has raised angel financing and is in the process of closing the first true venture round for Delivery Agent. Delivery Agent, Inc., ( is the leader in shopping enabled programming and measurement for television shows, movies, sports, and music videos. Delivery Agent created the market for shopping enabled programming by redefining how products “Just-Seen-On”, or related to entertainment content are catalogued, sold and measured. Since early 2002, through its patent pending suite of Just-Seen-On™ technology applications, and proprietary analytics system, Delivery Agent has been facilitating and measuring revenue-generating connections between viewers and products.


    Bruce Taragin of Blumberg Capital

    Bruce Taragin has 15 years experience as a venture capital investor, entrepreneur, technology investment banker and corporate attorney. Before joining Blumberg Capital in 1998, Taragin held several senior management positions within technology companies. He also structured and managed early-stage technology transactions at Hambrecht & Quist, Mayer Brown & Platt and Bankers Trust Company.

    A native of New York, he earned his BA in Finance and Communications, cum laude, from Yeshiva University, and his MBA and JD from Fordham University. Taragin serves as a member or observer on the Board of Directors of CaseStack (, PureSight (, IP Infusion (, Go Networks, and Insightix.
