    I Have an Idea.  Now what?  A discussion for pre-venture funded startups

    Having a great idea and a strong potential market are not the only barometers for early startup success and funding.   Other issues often arise before fundraising that can potentially threaten the future of the startup.  During this discussion, we will touch upon some of these issues, including:

    ·         -Structure:  Legal formation and structure of the company

    ·         -Team:  Founder relationships and issues

    ·         -Business plan:  Its necessity and formation

    ·         -Technology:  IP and Licensing

    Brad Rock concentrates in mergers and acquisitions; corporate securities, venture financings, and public offerings; public company securities law compliance; and software and hardware licensing and distribution.

     

    Shailendra Jain, CEO / Co-founder Abaqus Inc.

    Mr. Jain is currently the CEO / Co-founder of Abaqus (www.abaq.us), a company founded in October 2007 and focused on developing consumer applications for the next generation GeoWeb.   Prior to founding Abaqus, Mr. Jain served as the CEO of Adamind which focused on selling multimedia technology solutions to mobile operators and service providers worldwide e.g. Verizon, Openwave, Bharti, Ericsson, Motorola, Universal Music, IBM et al.  Mr. Jain managed the spin-out of Adamind from Philips Electronics in 2004 followed by its listing in AIM, UK.  The company completed its sale in 2007.  Prior to Adamind, Mr. Jain was at Philips Electronics where he was the General Manager and Chief Operating Officer of a business unit selling multimedia technology solutions to mobile operators and handset manufacturers.  Prior to joining Philips, Mr. Jain was Vice President of New Media & Internet Services at Wave Systems Corporation.  Mr. Jain has also been involved in a number of pioneering start-up companies including VZ Corporation and Serius Corporation (later acquired by Novel).  Mr. Jain studied at the University of Utah and obtained his B.S. and M.E. degree in Computer Science.

     

    Tom Cervantez is the founder of the Golden Gate Angels and Harvard Angels (angel investor groups in SF). Tom has over 17 years experience working as a lawyer in the venture capital and startup technology company field in Silicon Valley. Tom's core area of focus is the securities and finance field, with a focus on helping emerging growth companies, venture funds, and software and hardware computer companies navigate issues concerning securities, capital structure planning, private placements, mergers and acquisitions, venture financing and licensing transactions. Tom has also participated at an operating level at several companies, including a venture fund, boutique investment bank and an ISP. Tom is also an active angel investor in the computer, communications and networking sectors and runs the Harvard Angels (angel group for Harvard Business School NorCal Alum and Harvard Club SF) and the Golden Gate Angels investor group in San Francisco. Tom holds a Bachelor's in Business Administration, magna cum laude, from Loyola Marymount University, a JD from Harvard Law School and a MBA from Harvard Business School.

     

     

    Moderator: Rohit Gupta is an associate with Opus Capital, where he sources and
    evaluates investment opportunities.

    Rohit brings a technology and operational background to Opus. Prior to
    Opus, Rohit worked at Accenture, where he was a consultant focused on
    SOA, BPM, and SaaS technologies. While there, Rohit served in software
    architect and project manager roles for various medium-to-large
    companies in the telecommunications, energy and software sectors. Rohit
    has also worked extensively with clients to create technical
    assessments, feasibility reports and roadmaps, resulting in the
    appropriate use of funding and resource allocation. In addition, he
    previously worked at an embedded wireless mesh networking startup, as
    well as at a few political campaigns.

    Rohit holds a BS in Electrical Engineering from the Massachusetts
    Institute of Technology, with a minor in Political Science. Rohit served
    as the Class President at MIT, and continues to serve as the Alumni
    Class President.
