    In this new funding climate most VCs are holding back on their investments and angel investors are nowhere to be seen. Start-up companies and entrepreneurs need to find creative ways to advance their businesses with little or no capital, aiming for profitability and self-sustaining cash flows. Come and learn how experts have done it and hear their recommendations.



    Come and learn how to:

    • Implement creative ways to save cash.
    • Set up employment contracts, consulting agreement and capitalization tables for bootstrapping.
    • Deal with patents, licensing and trademarks on limited budget.
    • Get funding via consulting and handle all legal and ownership issues.
    • Incorporate, deal with legal issues when you are not expecting to raise venture funding soon.
    • Handle deferred but big bills when you are not about to raise millions.
    • Take on angel funding when you are not expecting to raise venture round soon.
    • Set valuation to have reasonable dilution, reasonable expectation of return for investor, and avoid setting too high a bar for future valuations/liquidity.

    Greg Beattie, Partner at Crosby, Heafey, Roach & May

    Greg Beattie is a partner with the law firm of Crosby, Heafey, Roach and May. A recognized expert in technology and corporate law, Beattie maintains an extensive corporate and technology law practice, emphasizing start-up and private company representation. Beattie's practice includes corporate formation and financing, mergers, acquisitions and strategic joint ventures, technology acquisitions, protection and transfers, and securities and commercial law. He represents a broad spectrum of software, hardware and communications companies, life sciences companies and a variety of distribution, retail, service and manufacturing concerns. Beattie also has in-depth knowledge of structuring and running a start-up, having served as General Counsel for Ungermann-Bass, Inc. , a pioneer data communications company in Santa Clara. He is a founding director of the nonprofit East Bay Venture Forum. Beattie graduated from Stanford University and Harvard Law School.

    Steve Bengston, Managing Director at PricewaterhouseCoopers

    Steve is Managing Director of Emerging Company Services (ECS) at PWC. ECS acts as "mentor capitalists" for young, high potential companies and assists them with a variety of services, including reviewing executive summaries/business plans/investor presentations, financial modeling, raising money, creating partnerships, and finding people. ECS works closely with the leading opinion leaders/influencers in the Bay Area, including venture capitalists, attorneys, bankers and other service providers that have made Silicon Valley the leading high tech center in the world.



    Before joining PWC, Steve had 20 years of experience in a variety of marketing, business development and general management roles at several high tech companies in the Bay Area. Most recently, he was Pres/CEO of ynot.com, a leading international emarketing and greeting card company. Previously, he was VP Marketing & Business Development at Worldview Systems, an Internet travel pioneer. At Worldview, Steve helped launch and market Travelocity with Sabre Interactive. Steve has a BA in Economics and MBA from Stanford University. He works closely or sits on the Advisory Board at Round Zero, Time Domain Systems, and the Stanford/MIT Venture Lab, teaches a class on funding/running start ups at UC Berkeley Extension and Stanford University Continuing Studies, and is active in a variety of other organizations in the Bay Area targeting entrepreneurs.

    Steve Bennet, Managing Director at Bodega Partners

    Steven Bennet is Founder and Managing Director of Bodega Partners, a venture catalyst and management consulting firm that assists early stage software and Internet companies in strategic planning, business development, and interim management. In the past eight years with Bodega, he has personally helped over sixty companies meet their strategic and financing goals.



    In addition to his work at Bodega Partners, Steve is a Venture Partner at iMinds Ventures, an early stage venture capital firm. He is also an instructor at the University of California at Berkeley, teaching a business course he designed, "Financing the Software Venture." He is currently on the Board of Directors of Anonymizer and several advisory boards. He is also on the Investment Committee of the UCLA Venture Capital Fund, the first fund to support academic programs at a public university. Bennet holds a B.S. in Economics from the Wharton School at the University of Pennsylvania and an MBA from UCLA in Entrepreneurial Finance and Entertainment Management. He is also a licensed CPA.

    Kevin Hartz, CEO at Mollyguard

    Kevin Hartz is Co-Founder and CEO of Mollyguard. Kevin is responsible for all aspects of the business except for the engineering stuff. Kevin was most recently a Principal at iMinds Ventures, a $75M early-stage technology investment fund. Prior to iMinds Ventures, Kevin was a co-founder and VP of Marketing of Connect Group, acquired by Lodgenet (NASD: LNET). Prior to Connect Group, Kevin was a software product manager at Silicon Graphics. Kevin has a Masters from Oxford and a BA and BS from Stanford University. Kevin is a seed investor in PayPal.

    Naresh Parshotam, President & CEO at Tetrazoi Corporation

    Naresh recently co-founded Tetrazoi with two other seasoned entrepreneurs. Tetrazoi develops and markets enterprise solutions to help enterprises understand, analyze and manage the business impact of IT events that occur in their organizations. Prior to founding Tetrazoi, Naresh was an investor and Vice President of Business Development Vialto Corporation, where he helped closed Vialto's Series-A financing. Naresh helped define product marketing, product management and sales strategies for Vialto and co-authored the business plan. Preceding Vialto, Naresh was Vice President and General Manager of BindView's Fremont R&D division where he managed R&D for BindView's LifeLine product line. Prior to BindView, Naresh founded CuraSoft, Inc., a leading provider of automated event management software that enabled businesses to maximize the uptime and availability of their applications, network services, and systems remotely. Naresh grew CuraSoft from the ground up without outside financing, leading the initial design and development of CuraSoft's products, to the sales and marketing of CuraSoft's products to 180 customers worldwide, and CuraSoft's acquisition by BindView in 1998.



    Prior to CuraSoft, Naresh was an early employee at Patrol Software, a pioneer of database monitoring and alerting software, where Naresh was instrumental in designing and developing Knowledge Modules. Following its acquisition by BMC Software, Patrol became a flagship product for BMC, which now generates more than $100 million in annual revenue. Naresh spent four years at Oracle, developing Financials and Manufacturing applications, before joining Patrol Software.



    Naresh holds a BS in Computer Science from the University of Michigan. Naresh lives in the Silicon Valley, with his wife, See Wai and sons, Mikhil and Kieren, and is hands-on business development and, product management and marketing executive, performing product and technical audits on behalf of Venture Capitalists and startups.
