Mr. Hou is Of Counsel in the Palo Alto office of Morrison & Foerster LLP and a member of the firm’s Technology Transactions Group. His practice is concentrated on structuring, negotiating, and documenting transactions involving intellectual property and information technology, primarily for clients in the software, semiconductor, Internet, and telecommunications industries.
Mr. Hou has worked on numerous transactions involving the licensing, distribution, and development of computer software. Mary Shimizu, Of Counsel, Morrison & Foerster
Mary Shimizu has significant experience in a broad range of securities and corporate finance transactions, including private equity and venture capital financings, public debt and equity offerings, global Regulation S and Rule 144A offerings, pass-through certificate financings and private placements, as well as medium-term note programs and commercial paper programs. She has also worked as company counsel for managed structured finance companies and represented the fund sponsor and the fund in the formation of venture capital private equity funds and exchange funds.
She has represented Japanese, American, and European clients in the technology, e—commerce, pharmaceutical and telecommunications industries in cross-border acquisitions and joint ventures. She also has experience in executive compensation, employment and pension law, where she has advised companies regarding stock option and other stock-related plans, employment and termination contracts, ERISA and employee benefits issues, and employment discrimination.
