A Case Study of Learning Lessons for Entrepreneurs
SDForum, in collaboration with Nixon Peabody and Frank Rimerman are delighted to announce the launch of a unique and innovative breakfast series: Building a Tech Business in Silicon Valley: A Case Study. The Series is NOT a “talking heads” panel program. Instead, the important lessons learned are communicated through discussions centering around detailed case descriptions. Audience members put themselves in the shoes of the company's principals as they suffer and succeed through the rollercoaster life of a startup. The Series will take place across five sessions from Fall '08 to Spring '09 and will trace the lifecycle of a fictitious Silicon Valley technology company.
Each session will be kicked off by a panel of experts and then participants will discuss and debate what the founders should do, provide helpful insights and materials for the entrepreneurial attendees as they build and grow their own companies. The experts include seasoned entrepreneurs and CEO’s, service providers, investors and executives with pertinent experience and insights. There will be a dedicated wiki to communicate with attendees, including disseminating background material prior to the sessions, session materials, news and other related pieces or posts, and speaker and sponsor information.
Attendees are invited to participate in the entire series, or simply come for one session of particular interest.

Session #1- Cash Crunch — October 22, 2008
GS has successfully landed its first major partnership GS television production company for their new show — America Has A Big Secret. They have been doing consulting on the side, but the company has not yet begun to generate revenue from its core business. Unfortunately, the company is almost completely out of cash. This is their first big break, yet they cannot even pay their employees, taxes, rent, or even buy their own coffee. What can and should the founders do?

James Chapman, Managing Partner, Nixon Peabody has focused on securities law, venture capital, mergers and acquisitions, and international business transactions for the past twenty years. Jim has been involved in over 175 mergers, acquisitions, and financing transactions. These transactions have included public offerings, private placements, debt financings, venture capital transactions, stock sales, asset sales, mergers, reorganizations, and recapitalizations.
Lisa M. Chapman, Counsel, Nixon Peabody. Ms. Chapman is a member of the Labor and Employment group. The nature of Ms. Chapman’s practice is twofold; she litigates employment matters and counsels companies and entrepreneurs about employment matters, including employment policies, hiring and termination issues, appropriate notice, leave of absence conflicts, noncompetition provisions in employment contract, and severance packages. She also advises on sexual harassment (including the employer’s duty to provide a safe work environment), compliance, and trade secret issues.
Ms. Chapman has extensive experience in both advising clients on trade secret and non-competition issues and litigating to defend her clients' interests in these matters. She understands that, oftentimes, these issues require immediate legal action to protect a company's intellectual property. Ms. Chapman also trains employers and human resource professionals on developing systems for protecting their intellectual property from employee theft.
Stephen M. Baroni, Partner, Frank, Rimerman & Co. LLP Steve joined the Firm after graduating with a degree in accounting from Santa Clara University, and has over eighteen years experience providing auditing, finance, accounting and business advisory services to early and mid-stage technology companies. He is formerly an audit partner with the Firm, having worked twelve years in the audit practice primarily serving privately-held technology companies. He is currently the partner in charge of the Accounting Services Group, which provides outsourced finance and accounting services to early-stage, venture backed technology companies. Responsibilities have included developing the accounting system and internal control infrastructure for start up companies, revenue recognition, fundraising, financial modeling and operating plan development, cash management, equity accounting, and debt financing.
David Dembitz Thirty-two years of sales, marketing and executive management experience ranging from start-ups to the Fortune 500 such as AboveNet Communications, Accellion Inc., SynOptics Communications (Nortel) and Unisys/Burroughs. Mr. Dembitz expertise include accelerating revenue growth, securing key major accounts, building sales and marketing teams, establishing brand identity and market validation for new products/services, developing and implementing strategic business plans and speaking at institutional investor conferences. Mr. Dembitz had the unique experience of managing through AboveNet’s entire company lifecycle that included start-up venture funding, public offerings, acquisitions, and ultimately a merger with a larger company.
Anthony Nassar, Founder and Principal, Venture Momentum. As a consulting CFO, he helps startup entrepreneurs put together the pieces of their financial puzzle by providing a solid foundation from which to
successfully raise capital, manage growth and achieve liquidity. Anthony brings to Venture Momentum's clients 20 years of financial management experience. He has assisted start-ups and small businesses on various matters including angel and venture financings, acquisitions, due diligence, accounting systems automation, financial reporting and internal controls. Prior to launching Venture Momentum 14 years ago, Anthony held senior management positions in finance and corporate planning with Nexcom Technology, Inc., Fair Isaac Corporation and a consulting group in France.
George Northup, President and CEO, AuctioDrop, Inc. ranked the 3rd fastest growing private company in Silicon Valley in the San Jose Business Journal "Fast 50." AuctionDrop was also ranked 12th in the Deloitte & Touche "Tech Fast 50 Silicon Valley Rising Stars."
George has more than 25 years of in-depth operating experience in building internet and software companies into durable and profitable entities. His earlier successes include: LiveCapital, a financial software analytics company that was sold to D & B and Online Resources, a pioneering online banking company (NASDAQ: ORCC, Russell 2000 company) which he took public in 1999. He has raised more than $400 million through IPO's and venture financing.
Emily Ruvalcaba, Executive Vice President and Manager of Commercial and Industrial Division for Bridge Bank, is responsible for four lending groups located in San Jose, Peninsula, East Bay and Sacramento. In addition to her undergraduate work, she is a graduate of the Pacific Coast Banking School, administered by the Graduate School of Business at the University of Washington, Seattle. Ms. Ruvalcaba has over 20 years of banking experience.
Ms. Ruvalcaba is active in a number of various charitable and professional organizations and served as a board member of the American Red Cross, Santa Clara Chapter. In 1995, she received one of the YWCA’s ‘Tribute to Women in Industry’, or TWIN, awards.
