Laureen has over 30 years of senior management experience as President and CEO, COO, CFO and General Counsel of various private and public life sciences, medical technology, consumer products and technology companies.  Additionally, she has served as a member of the Board of Directors of both public and private companies, and has chaired their respective Audit Committees.  Laureen helps companies succeed by assisting them with corporate and financial strategy, including early stage financing and commercial growth strategies, successive fundraising and IPOs, public company advising and Wall Street communications, operational infrastructure guidance, M&A, restructurings, change management, and coaching at every level of the C-Suite.  In particular, she excels at helping companies and CEOs navigate the many transitions that a company moves through, from early stage, to product development, scale-up, commercialization, M&A, integrations, restructurings and exits.

 

During her career, Laureen has successfully raised over $350M in private and public financings, completed $5B in M&A transactions, retired over $500M in company debt, negotiated over $1B in revolver credit arrangements for companies, and has overseen three SOX-404 implementations.   As EVP and General Counsel, she led the negotiations to sell Nellcor Puritan Bennett to Mallinkcrodt, Inc. (now Covidien) in a $2B+ transaction in 1997 as well as all post-merger integration.  As EVP, CFO and COO, she led the negotiations to sell ReSound Corporation to GN Great Nordic in a $400M+ transaction in 1999, and assisted as a Board member in the sale of Invivo, Inc. to IMCG Group in a $400M transaction in 2004, and the sale of VISX, Inc. to AMO (now Abbott Ophthalmology) in a $2B transaction in 2005.  Laureen also took Thermage, Inc., a global medical technology company, public in 2006 as its Chief Financial Officer, raising over $65M in both the private and public markets during her tenure.  She was President and CEO of Coapt Systems, Inc., a global surgical products company from 2008-2010, and secured $8M in bridge financing to expand its product lines prior to the acquisition of its business to MicroAire Surgical in late 2010.

 

Prior to joining FLG, Laureen has served as a strategy, financial and management consultant to several public and private companies, assisting them with financings, market due diligence, operations, re-structurings, Wall Street communications, and exits.  She is a frequent lecturer in corporate and financial strategy, fundraising in the private and public markets, M&A, restructurings, and post-merger integration.

Laureen earned her B.A. from Duke University, Summa Cum Laude and Phi Beta Kappa, an M.A. from Stanford University as a Stanford Fellow, and a J.D. from New York University School of Law where she was a Root-Tilden Scholar.  She is a member of the State Bar of California, as well as alumnus of the Directors’ College at Stanford University School of Law (2009, 2007, and 2005).
