Mr. Pierson is the leader of the Corporate & Securities - Technology Group. His practice focuses on the representation of technology companies and investors in venture capital and securities transactions, including private placements, mergers and acquisitions and corporate partnerships.
Mr. Pierson’s securities and general corporate representation includes work with a number of companies, as well as with certain institutional investors. Representative issuer clients include Aerion Corporation, BigFoot Networks, CafePress.com, Cardax Pharmaceuticals, Connexus, Deeya Energy, DRW, eGain Communications, Gear Six, Kapow Technologies, Maginetics, NetSeer, Target Cast Networks and Tensilica, Inc. Representative investor clients include KTB Ventures, Oak Hill Venture Partners and U.S. Venture Partners.
Mr. Pierson has handled over 250 private placements of securities during his 20+ years of practice in the Silicon Valley. Mr. Pierson has also represented sellers and buyers in numerous merger and acquisition transactions. Representative M&A transactions include the sale of SiByte, Inc. to Broadcom Corporation, the sale of VxTel, Inc. to Intel Corporation, the sale of P.A. Semi to Apple, Inc., the sale of PRN Corporation to Thomson S.A., StepNexus’ acquisition of the Smartcard assets of MasterCard International, the sale of Securent to Cisco, the sale of Modulus Video to Motorola, the sale of ScanAlert to McAfee and the merger of Connexus and Epic Media Group. Representative public offerings he has handled include the initial public offerings of eGain Communications Corporation and Critical Path, Inc.
Prior to joining Pillsbury in 1997, Mr. Pierson was associated with two other Silicon Valley firms and also served as corporate counsel of a publicly held biotechnology company, Scios, Inc.
