* Re-vesting: should founders expect to subject their shares to re-vesting?
* Grants: should employees be given follow-on grants (if so, when and how much)?

Mark Greenough, Founder & President of Greenough Consulting Group
Greenough Consulting Group is a multinational outsourced finance, accounting and human resources consulting company with a client base made up primarily of venture backed start-ups and venture/private equity funds. To date, GCG has applied its expertise to more than 500 start-up businesses and 100+ venture and private equity firms. While leading the company, Mr. Greenough has worked with more than 150 clients and has served as an interim CFO to more than 50. He focuses on mentoring management teams through the venture process, and providing services for the managing directors of the venture funds that support them. A partial list of current clients includes, Dropcam, Inc., Ridepal, Exactbid, Inc., Crunch Fund, Launch Fund and San Francisco Equity Partners. Mr. Greenough is an active angel investor and sits on the board of directors for several private companies. Prior to founding his own consulting practice Mr. Greenough spent five years as the Chief Financial Officer of US Venture Partners. Earlier in his career, he was a manager at Arthur Young & Co. (now Ernst & Young) in both the audit and consulting practices and has held various accounting positions with Levi Strauss & Co and ITEL Corporation. Mark holds an MBA in Finance from the University of Oregon and a BS in Finance and Accounting from the Oregon State University. He is a licensed CPA in California (Inactive).
Michael Sinkula, Co-Founder & Director of Business Development, Envia Systems
Before co-founding Envia Systems Inc., Mr. Sinkula was the Director of Business Development at Nanoexa, where he successfully negotiated development and licensing contracts for lithium battery technology and products. Prior to that, Mr. Sinkula founded Molecular ID Systems, a company that developed portable bacterial diagnostic devices. He has also held several finance positions at Hewlett Packard. Mr. Sinkula earned a B.S. in Finance from Santa Clara University, a M.Sc. in Biomedical Engineering from the University of Newcastle (United Kingdom), and a MBA from the Wharton School at the University of Pennsylvania.
Igor Taber, Investment Director, Datacenter Software, Intel Capital
Igor Taber is a Director at Intel Capital’s Datacenter Software group focusing on Big Data, Analytics and Cloud enterprise investments. He initially joined Intel Capital in 2008 and prior to current role, he led Intel Capital investments in Russia where he invested in number of leading consumer and enterprise companies. He has invested and serves on the boards as observer or director of,DeNovo (datacenter and cloud provider), Rock Flow Dynamics (enterprise software), Sapato (acquired by Ozon), kupiVIP (ecommerce), Ozon (ecommerce), Altergeo (mobile). Prior to Intel Capital, Igor was Director for Business Development in Intel WiMAX Group where he led deal structuring and negotiations with Sprint Nextel which resulted in Sprint’s initial commitment to WiMAX for its 4G network. He was also Chief of Staff to VP and GM of Intel WiMAX group. Early in his career he was in product management defining Intel next generation optical and communication products. He originally joined Intel in 2001 as part of Sales and Marketing Rotation Program – premier training program for recent college graduates. Igor has MBA from Wharton Business School and Computer Engineering degree from University of Kansas

Jon Gonzales is a partner in Procopio’s Silicon Valley office. He counsels emerging growth companies, public companies and angel investors with regard to business formations, financings, mergers and acquisitions, securities compliance and licensing matters. His experience includes the representation of technology companies in the consumer, mobile advertising, social, Internet, semiconductor, software, and hardware sectors. Jon’s prior experience also includes serving as Chief Corporate Counsel at a public semiconductor company, Vice President and General Counsel – Operating Companies at Idealab, and as an attorney with Wilson Sonsini Goodrich & Rosati, where he represented Netscape Communications and NeXT Software and top-tier investment banks in connection with the initial public offerings of NVIDIA and Informatica. Jon is also a Certified Public Accountant licensed in Texas. He received his BBA (Accounting) and MPA (Taxation) from the University of Texas at Austin and his JD from Stanford University.
